Non-Exclusive Premium Lease

Overview

This Non-Exclusive Premium Lease Agreement ("Agreement") is entered into upon purchase between Thaddeus Arndt ("Licensor") and the purchasing party ("Licensee"). This license grants expanded, non-exclusive rights to use the beat ("Composition") including tracked-out stems, for the purposes outlined below.

Deliverables

• Tagged MP3 file (192kbps)
• Untagged WAV file (24-bit / 44.1kHz)
• Tracked-out stems — individual track stems (drums, bass, melody, etc.) for full mixing flexibility

Credit Requirement

Licensee must credit the producer in all uses: "Prod. by Thaddeus Arndt". This includes song titles, streaming metadata, video descriptions, and printed materials.

Exclusivity

This license is non-exclusive. The Licensor retains the right to sell, license, and distribute the same Composition to other parties. If the beat is later purchased exclusively by another party, this non-exclusive license remains valid for its full term.

Ownership & Copyright

The Licensor retains full ownership and copyright of the Composition. Licensee owns only the master recording of their finished song, subject to the terms of this Agreement. The underlying instrumental, stems, and all component files remain the property of the Licensor.

Publishing

Licensor retains 50% of publishing rights to the Composition. Licensee is responsible for proper registration with their PRO and for ensuring royalty splits are correctly reflected in distribution metadata.

Restrictions

• Licensee may not resell, re-license, or transfer this license or any delivered files to any third party.
• Licensee may not claim ownership of or copyright the underlying instrumental or stems.
• Stems are licensed solely for use in the Licensee's original recorded work under this Agreement — they may not be remixed, re-sold, or re-purposed separately.
• Licensee may not use the Composition for commercial advertising, film, TV, or sync without a separate agreement.
• Licensee may not use the Composition in a way that exceeds the limits stated above without upgrading to an Exclusive license.

Term & Termination

This Agreement is valid for 10 years from the date of purchase. The Licensor may terminate this Agreement immediately upon any breach of its terms. Delivered files must be destroyed upon termination.

Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved in Los Angeles County.

Upgrade Path

Licensee may upgrade to an Exclusive license at any time. Contact thaddeusarndt14@gmail.com to arrange an upgrade and credit your original purchase price.
