This Exclusive Rights License Agreement ("Agreement") is entered into upon purchase between Thaddeus Arndt ("Licensor") and the purchasing party ("Licensee"). This license grants full exclusive rights to use the beat ("Composition") without limitation, including all delivered files.

Producer credit is strongly encouraged but not contractually required: "Prod. by Thaddeus Arndt". Licensee may register the composition under their own name without listing the producer, though professional courtesy is appreciated.
This license is fully exclusive. Upon purchase, the Licensor will remove the Composition from all marketplaces and will not license, sell, or distribute the Composition to any other party in any form. The Licensor retains the right to identify the work publicly as a past production credit.
Licensee gains full ownership of the master recording of their finished song. The Licensor retains copyright ownership of the underlying instrumental Composition (the "beat") but grants the Licensee an irrevocable, perpetual, worldwide exclusive license to use it without restriction.
The Licensee may not resell or re-license the underlying beat itself as a standalone instrumental to other artists.
Licensor retains 50% of publishing rights to the underlying Composition. Licensee controls the remaining 50% and the full master recording. Both parties are responsible for registering their respective shares with their PROs. If Licensee wishes to acquire 100% of publishing, a separate buyout agreement can be arranged — contact us to discuss.
This Agreement is perpetual and irrevocable once executed, provided the Licensee has not breached its terms. There is no expiration date.
This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved in Los Angeles County.

By completing your purchase you acknowledge that you have read, understood, and agreed to all terms of this Agreement. This Agreement constitutes the entire understanding between both parties regarding the Composition.
